As Counsel at Kellogg, you will engage collaboratively to enable our business as a subject matter expert providing strategic advice and legal counsel on commercial law and contracts expertise.  The role can be based out of Chicago, IL or Battle Creek, MI and will work on a hybrid, in office and work from home model.

HERE’S A TASTE OF WHAT YOU’LL BE DOING

 

  • Subject Matter Expert –  Help to shape our success by serving as a legal and contracts “subject matter expert” on IT transactions, business process outsourcing transactions, and real estate transactions.  You will help to set legal strategy and provide advice and counsel on a broad range of business topics.  This includes general corporate matters, intellectual property, commercial law, bankruptcy law, dispute resolution, and commercial liability and risk assessment.   
  • Contracts and Contract Management – In this role you will serve as one of the contract experts for the Legal & Compliance department’s Global Transactions Practice Group.  You will structure, draft, review, and negotiate a variety of agreements including those relating to complex IT, business process outsourcing and real estate transactions.  As our contracts expert in those subject matters you will also counsel Kellogg lawyers around the world on complex commercial matters. 
  • Bring the Outside, In – We will rely on you to scope out new developments in case law and new or pending legislation and regulations relating to your subject matter areas.  This includes advising the appropriate company personnel of any potential impact on the company’s business. 

 

YOUR RECIPE FOR SUCCESS

 

Required:

 

  • Juris Doctorate and Licensed attorney
  • 10+ years of contract (including drafting, reviewing, and negotiating) or corporate/general business law experience, including significant experience with information technology transactions
  • Proven ability to handle multiple legal matters successfully and creatively in various legal areas in a timely manner
  • Demonstrated ability to understand, analyze, and assess complex issues and risks being a creative problem solver
  • Demonstrated ability to draft clear and concise language in documents and contracts
  • Understand negotiation techniques; be an effective negotiator
  • Communicate information, ideas, and issues to commercial partners in an articulate, persuasive, succinct, timely, and commercial-friendly manner
  • Understand current and emerging substantive legal issues
